NON-DISCLOSURE AND NON-COMPETE

Pursuant to our recent discussions, I will be making available to you certain confidential and proprietary information, methods, and products, concerning the above-identified business operation, for use by you in evaluating the business opportunity.

In consideration of my supplying you with information concerning the business opportunity, you agree that the information will be used by you only in your evaluation as aforesaid and that you will not disclose to others, copy, or use in any other manner the information supplied to you by Time to Sign, Inc. Such restrictions shall not apply with respect to such portions of the business opportunity:

 (i)

which correspond in substance to that independently developed by you and in your rightful possession prior to your receipt thereof from me unless you obtained such information from me or my agents prior to entering into this Agreement;
 (ii)

which at the time of disclosure thereof by me to you is, or thereafter becomes through no act or failure to act on your part, part of the public domain by publication, sale, or otherwise; which correspond in substance to that furnished to you by others as a matter of right without restriction on disclosure;

and provided further that the occurrence of (i), (ii), or (iii) (above) shall not be construed as granting any rights, either express or implied, under my copyrights or trademarks, which relate to the business opportunity. Information disclosed under this agreement shall not be deemed to be within the foregoing exceptions merely because the general subject matter thereof is embraced by more general information in the public domain or in your prior possession. In addition, any combination of features shall not be deemed to be within the foregoing exceptions merely because individual features are in the public domain or in your possession, but only if the combination itself and its principles are in the public domain or in your possession.

You agree to promptly return to me, upon my request, all items concerning the business opportunity furnished to you hereunder.

 

Moreover, you hereby represent and warrant that you will not compete with the business opportunity directly or indirectly. Due to the confidential nature of this disclosure, this agreement not to compete is unlimited as to time and geographical area. You further represent and warrant that you will not assert any rights in the business opportunity as a co-inventor if you make a contribution thereto that is obvious to those of ordinary skill in the art.

 

Please indicate your agreement to the foregoing by signing and returning one duplicate original hereof, whereupon I will promptly provide you with proprietary information concerning the business opportunity. This agreement contains our entire understanding and supersedes all previous agreements, cannot be modified except in writing, is governed by the laws of the state of Florida and is binding upon you, your employer or principal, and all affiliated or related legal entities.

 

CERTIFICATION & AUTHORIZATION

The above information is true and correct. I understand that, in the event of my licensing by the Company, I shall be subject to cancellation or termination if any information that I have given in this application is false or misleading or if I have failed to give any information herein requested, regardless of the time elapsed after discovery.

I authorize the Company to look in to my educational, professional, and past relevant history and references (minimum of 3) as needed to research my qualifications for this license. I further authorize the Company to obtain a Criminal Background Check, as mandated by the State of Florida for anyone who works with children and pay the $99.00 fee or if I currently have a background check less than 1 year old, I will provide Company with a copy.
